Sinclair Launches Strategic Review of Broadcast Business and Ventures

Sinclair Inc. has announced that its board of directors has authorized a comprehensive strategic review for the company’s broadcast business, which includes evaluating all value-enhancing opportunities such as acquisitions, partnerships, and business combinations. The review will also consider separating ventures through a spin-off, split-off, or other transaction.

The move is aimed at unlocking the full potential of both businesses, each with distinct growth profiles and value drivers. Sinclair’s broadcast business has consistently outperformed industry peers, driven by strong advertising revenues. In contrast, the company’s ventures portfolio represents significant additional value through its diversified investments in real estate, private equity, and technology.

The review is a dual-track approach, allowing the company to pursue transformational opportunities without predetermined limitations on transaction structures. This flexibility enables Sinclair to execute the most compelling strategy in today’s dynamic broadcast and media landscape.

“We intend to lead consolidation in the broadcast industry,” said Chris Ripley, President & Chief Executive Officer of Sinclair Inc. “Our broadcast business positions us as the partner of choice for value creation, while separating ventures will crystallize significant value that the market has overlooked.”

The strategic review does not guarantee any transaction or other strategic change. The company will only disclose developments when its board approves a specific course of action or determines further disclosure is required.

Sinclair Inc. is a diversified media company and leading provider of local news and sports, with 178 television stations in 81 markets affiliated with major broadcast networks. The company also owns Tennis Channel, multicast networks, and the nation’s largest streaming aggregator of local news content.
